Terms and Conditions

These Terms and Conditions ("Agreement") govern your access to and use of RothFinder, a software platform operated by Five Pathways, LLC ("Company," "we," "us," or "our"). By creating an account, accessing any portion of the platform, or clicking any confirmation button that references these terms, you ("Subscriber," "you," or "your") agree to be bound by this Agreement in full. If you do not agree, please do not use the platform.
We encourage you to read this carefully. It isn't boilerplate for its own sake — it explains the nature of the services, how your data is handled, what limitations apply, and what happens if something goes wrong.
1. Description of Services
RothFinder is an AI-assisted financial advisor productivity platform. It provides tools for modeling Roth IRA conversion strategies, building multi-year tax projection scenarios, comparing conversion outcomes, and communicating strategy insights with clients through a secure portal.
Specific features available to subscribers include, but are not limited to: the Roth strategy engine and scenario builder, year-by-year tax projection modeling, IRMAA and RMD impact analysis, FIA and RILA vehicle modeling, the Angie AI assistant (available within the advisor interface and client-facing portal), the client relationship portal and secure messaging tools, advisor-facing engagement tracking, pre-built strategy pathways, PDF report generation, and integration with third-party scheduling services.
We may add, modify, or discontinue features at our discretion with reasonable notice. Core service continuity for active paid subscribers will be maintained whenever operationally possible.
2. Eligibility and Account Registration
RothFinder is designed for licensed financial professionals and their affiliated organizations. By creating an account, you represent that you are at least 18 years of age, are authorized to enter into binding agreements in your professional or organizational capacity, and will use the platform only in compliance with all applicable laws and professional licensing requirements.
You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us promptly at support@rothfinder.com if you suspect any unauthorized access to your account. We are not liable for any loss or damage resulting from unauthorized use of your credentials.
3. Subscription, Billing, and Payment
Access to RothFinder requires an active paid subscription. Subscription fees are billed on a recurring monthly or annual basis, as selected at the time of enrollment. All fees are stated in U.S. dollars and are exclusive of applicable taxes.
Payments are processed through Stripe, a third-party payment processor. By providing your payment information, you authorize us to charge your designated payment method on each billing cycle. You agree that it is your responsibility to ensure your payment information remains current and valid.
Subscriptions automatically renew unless canceled prior to the renewal date. Cancellations take effect at the end of the current billing period; you will retain access to the platform through that date. We do not provide prorated refunds for unused portions of any billing cycle, except where required by applicable law or as determined at our sole discretion in exceptional circumstances.
We reserve the right to modify subscription pricing with at least 30 days' prior written notice. Continued use of the platform after the effective date of a price change constitutes acceptance of the new pricing.
4. IMO and Group Enrollments
Certain subscribers may access RothFinder through an Independent Marketing Organization (IMO) or group enrollment arrangement. In those cases, the terms of the applicable IMO agreement apply in addition to this Agreement. Seat-based billing, coverage periods, and termination procedures for IMO-enrolled advisors are governed by the applicable enrollment contract. In the event of any conflict between that contract and this Agreement, the enrollment contract controls with respect to billing and access terms only.
5. Acceptable Use
You agree to use RothFinder only for lawful purposes and in a manner consistent with this Agreement. You will not:
- Use the platform to provide financial advice without appropriate licensure or in violation of applicable regulatory requirements;
- Attempt to reverse-engineer, decompile, or extract source code from any portion of the platform;
- Share your credentials with unauthorized third parties or resell access to the platform;
- Upload or transmit any content that is unlawful, defamatory, or that infringes the intellectual property rights of any third party;
- Use automated scripts, bots, or scraping tools to access or extract data from the platform;
- Interfere with or disrupt the integrity or performance of the platform or its underlying infrastructure;
- Use output from the platform to train competing AI models or similar technologies.
We reserve the right to suspend or terminate accounts that violate these standards, with or without prior notice, depending on the severity of the violation.
6. Not Financial or Legal Advice
RothFinder is a professional productivity tool. The projections, scenario outputs, and strategy models generated by the platform are for illustrative and analytical purposes only. They are not, and should not be construed as, financial planning advice, investment recommendations, tax advice, or legal counsel.
All projections are based on inputs you provide and assumptions built into the modeling engine. Actual tax outcomes, investment returns, and financial results will differ — sometimes materially — from projected values. You are solely responsible for reviewing all outputs critically and for ensuring that any advice you provide to clients is appropriate, accurate, and compliant with applicable laws and your professional obligations.
Angie, the platform's AI assistant, is designed to support advisor communication and client education. Responses generated by Angie are not personalized financial advice and should not replace the judgment of a qualified professional.
7. Intellectual Property
All content, software, design elements, trademarks, and technology comprising the RothFinder platform are the exclusive property of Five Pathways, LLC or its licensors. Nothing in this Agreement transfers any ownership rights to you.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your internal professional purposes during your active subscription term. This license does not include the right to sublicense, copy, distribute, or create derivative works based on any portion of the platform.
You retain ownership of client data and other information you upload or enter into the platform. By submitting that data, you grant us a limited license to store, process, and transmit it as necessary to deliver the services described herein.
8. Confidentiality and Client Data
You acknowledge that client data entered into the platform is sensitive in nature. You agree to obtain all necessary consents from your clients before entering their personal or financial information into RothFinder, and to maintain appropriate safeguards consistent with your professional obligations and applicable data protection laws.
We treat client data as confidential and will not share it with third parties except as necessary to deliver the services, comply with legal obligations, or as described in our Privacy Policy. We do not sell client data.
9. Third-Party Integrations
RothFinder integrates with third-party services including Stripe for payment processing, Calendly for scheduling, and certain AI model providers for language processing. Your use of those services is also governed by their respective terms and privacy policies. We are not responsible for the practices, availability, or accuracy of any third-party service.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Five Pathways, LLC and its officers, employees, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, loss of data, or business interruption — arising from your use of or inability to use RothFinder, even if we have been advised of the possibility of such damages.
Our total cumulative liability to you for any claims arising out of or related to this Agreement or the services shall not exceed the total subscription fees paid by you in the three months immediately preceding the event giving rise to the claim.
11. Disclaimer of Warranties
The platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components, or that any particular result will be achieved from use of the platform.
12. Indemnification
You agree to indemnify, defend, and hold harmless Five Pathways, LLC and its affiliated persons from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in any way connected with your use of the platform, your violation of this Agreement, or your infringement of any third-party rights.
13. Term and Termination
This Agreement begins on the date your account is created and continues until terminated. You may terminate your account at any time by canceling your subscription through your account settings or by contacting us. We may suspend or terminate your account for cause — including material breach of this Agreement — upon notice, or without notice in cases of serious violation.
Upon termination, your access to the platform will end. Sections 6, 7, 10, 11, 12, and 15 of this Agreement survive termination.
14. Changes to This Agreement
We may update these Terms and Conditions from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, provide notice via email or within the platform. Your continued use of RothFinder after the effective date of any update constitutes your acceptance of the revised terms.
15. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute arising from this Agreement that cannot be resolved informally shall be submitted to binding arbitration administered under the rules of the American Arbitration Association, conducted in Maricopa County, Arizona. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.
